Terms of Service
Effective Date: January 1, 2025 • Last Updated: March 2025
Welcome to Rivoner (“Rivoner”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our payment infrastructure, APIs, plugins, merchant dashboard, and related services (collectively, the “Service”). By registering an account or using our Service, you (“Merchant” or “you”) agree to be legally bound by these Terms.
1. Service Description
Rivoner provides payment gateway infrastructure that enables commercial businesses and online merchants to accept card payments (Visa and Mastercard) from customers, with proceeds automatically settled in supported cryptocurrencies (including USDT, USDC, BTC, LTC, SOL, and XMR) directly to the merchant’s designated wallet address.
Rivoner provides technical connectivity and transaction routing. Rivoner is not a bank, deposit institution, or money transmitter. We do not provide long-term custodial banking or consumer crypto purchasing services.
2. Merchant Eligibility & Account Activation
To use the Service, you must register a merchant account with a valid business email address, provide accurate and complete business information, and comply with all applicable local and international commercial laws.
To enable live payment processing and unlock integration plugins and production API keys, merchants must complete account activation, which includes a one-time non-refundable activation fee of $119 USD, payable in supported cryptocurrency.
3. Fees & Payouts
Transaction Fees: Rivoner charges a flat transaction fee of 1.5% on successfully completed card payments, unless otherwise agreed in writing.
Settlements: Net sales proceeds (gross transaction amount minus the applicable fee) are settled into your designated cryptocurrency asset and wallet address. Automatic payouts are triggered when your accrued balance reaches your configured threshold, or via manual withdrawal from the dashboard.
Zero Rolling Reserves: Rivoner does not withhold rolling reserves (0% rolling reserve) on standard merchant volumes. You are responsible for providing an accurate destination blockchain wallet address. Cryptocurrency transactions are irreversible once broadcast to the blockchain network.
4. Cardholder Verification & Chargebacks
Card payments processed through Rivoner utilize 3-D Secure authentication (Visa Secure and Mastercard Identity Check) to authenticate the cardholder with the issuing bank.
Merchants remain solely responsible for fulfilling customer orders, delivering legitimate digital or physical goods, handling customer support, and addressing customer refund requests.
5. Prohibited Activities
You agree not to use the Service for any unlawful activities or in connection with prohibited industries, including but not limited to:
- Illegal goods, narcotics, or unlicensed controlled substances
- Fraudulent schemes, unauthorized card testing, or identity theft
- Money laundering or terrorist financing in violation of international sanctions (OFAC, UN, EU)
- Infringement of third-party intellectual property or copyright
- Malicious software, extortion, or phishing operations
6. API Keys & Security
You are responsible for safeguarding your secret API keys, webhook signatures, and account credentials. Any activity initiated using your valid API keys is deemed authorized by you. If you suspect an unauthorized compromise, you must regenerate your keys immediately from the dashboard.
7. Termination & Suspension
We reserve the right to suspend or terminate access to the Service immediately and without prior notice in the event of suspected fraud, excessive dispute rates, breach of these Terms, or compliance with applicable legal or regulatory orders.
8. Limitation of Liability
To the maximum extent permitted by law, Rivoner and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruptions, blockchain network congestion, or delays resulting from third-party network providers.
